1. Introduction

These Terms and Conditions ("Terms") govern the relationship between you ("Merchant") and Togo Tech Ventures Private Limited ("HORECA360", "we", "us", or "our"), for the use of the HORECA360 platform for sourcing food, kitchen, and HoReCa supplies.

By registering on or placing orders through https://horeca360.co.in, you confirm that you have read, understood, and agreed to be bound by these Terms.

2. Definitions

Platform: Refers to the HORECA360 website and any associated mobile, software, or service interface.
Merchant: Any hotel, restaurant, catering service, or commercial food outlet registered on the platform.
Goods: Products listed and sold through the HORECA360 platform.
Order: A request placed by the Merchant for Goods via the Platform.
Credit Facility: A facility optionally provided to eligible Merchants to make purchases on deferred payment terms.
Logistics Partner: A third-party service used to deliver Goods to the Merchant.
Wallet: A closed-loop digital wallet service provided on the Platform for prepayments and refunds.
Perishable Goods: Includes items like dairy, produce, meat, and seafood that are time-sensitive and may spoil.

3. Account Creation & Usage

To use the Platform, you must complete the registration process. You agree to:

Provide accurate business and KYC information.
Keep credentials confidential.
Use the Platform only for commercial purposes related to your business.
We reserve the right to verify, suspend, or reject any account based on internal checks or legal obligations.
Provide GSTIN details along with other relavent business related details
This ecommerce platform is meaant solely for businesses for their purchases in a B2B manner. End Consumers orders are not fulfilled

4. Placing Orders

Merchants can place orders through the Platform or through our support team. Upon placement:

Confirmation and delivery time estimates will be provided.
Perishable Goods must be received and inspected immediately.
Orders are subject to availability and delivery conditions.

5. Pricing & Payment

All prices are inclusive of applicable taxes unless otherwise stated. Prices may change without prior notice before Order confirmation.
You agree to:

Pay as per invoice at the time of delivery or as per Credit Facility terms.
Make payments via digital methods—cash deposits are not accepted.
Provide PAN, GSTIN, and other tax information when requested.
TCS (Tax Collected at Source) will be applied where applicable under Indian tax laws.

6. Credit Terms

Eligible Merchants may receive a credit facility subject to:

A defined credit period and limit.
Submission of UDCs, bank guarantees, or other security documents.
Interest of up to 18% per annum on overdue invoices.
Suspension of services if payments are delayed or defaulted.
We may share information with third-party credit evaluators to assess eligibility.

7. Delivery, Returns & Quality

We commit to timely delivery; however, delays may occur due to logistics or other external factors.
Merchants must:

Accept deliveries without undue delay.
Raise quality/quantity concerns at the time of delivery.
Use products before their expiration.
Returns:

Are only accepted if initiated within 7 days of delivery and combined with a new order with delivery fees being borne by customer.
Refunds for perishable items are possible unless the products are spoilt in transit

8. Intellectual Property

All content, branding, technology, and data on the Platform are the sole property of Togo Tech Ventures Private Limited.
You may not reproduce, copy, reverse engineer, or otherwise misuse any part of the Platform. Unauthorized use may lead to legal action.

9. Confidentiality

Both parties agree to maintain strict confidentiality of all business, financial, technical, and operational information shared during the course of this engagement. This obligation survives the termination of this agreement.

10. Termination

Either party may terminate this agreement with 7 days’ written notice. We may immediately suspend your account if:

You default on payments.
We detect suspicious or fraudulent activity.
You breach any law or these Terms.
Outstanding dues must be settled within 7 days of termination. Interest may be applied thereafter.

11. Indemnity & Liability

You agree to indemnify HORECA360 against any claims, losses, or liabilities arising from:

Breach of these Terms.
Incorrect information.
Misuse of Goods.
Our maximum liability is limited to the invoice value of the relevant Order.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in New Delhi.

13. Miscellaneous

Notices will be sent via email or postal service to the registered address or registered email id.
No agency relationship exists; both parties remain independent contractors.
Modifications to these Terms will be posted on the Platform and become effective immediately.
No third-party rights are created under these Terms.
Force majeure clauses apply in the event of natural calamities or uncontrollable external events.
